What is 10-K?
A 10-K is the comprehensive annual report that U.S. public companies are required to file with the Securities and Exchange Commission (SEC) within 60–90 days of their fiscal year end. The 10-K contains four main sections: the business overview (Part I), risk factors, properties and legal proceedings; management's discussion and analysis of financial condition (MD&A); audited financial statements including balance sheet, income statement, and cash flow statement; and internal controls attestation. The 10-K is the most comprehensive official disclosure available for a public company and is a primary source of information for investors, analysts, and creditors. All 10-K filings are freely available on the SEC's EDGAR database.
